AI Infrastructure Leader 'Cloudflare' CFO Restructures Stake with Billions in RSUs and Options

Cloudflare, Inc. (NET) disclosed that between February and March 2026, Chief Financial Officer Thomas J. Seifert and Chief Accounting Officer Riley Jeannel completed a series of equity transactions—including RSU grants, option exercises, and sales for tax withholding. On February 6, Seifert received approximately $30.1 million in new RSUs (about KRW 390 billion), boosting his direct holdings to the upper 220,000-share range. In March, following RSU vesting tax payments and the exercise of roughly 10,000 stock options, he sold about $2.2 million (KRW 29 billion) of Class A common shares under a pre-arranged Rule 10b5-1 trading plan.

On March 5, Jeannel exercised performance stock options and sold all ~20,000 shares of Class A common stock at roughly $190 per share, generating about $4.4 million (KRW 5.7 billion) in proceeds. She still holds approximately 50,000 shares plus unexercised options that vest quarterly beginning May 2026.

In its February 10 release of Q4 2025 results, Cloudflare reported revenue of $614.5 million (about KRW 800 billion), up 34% year-over-year, and guided to 28–29% revenue growth for 2026. The report sparked a double-digit jump in the stock price. Early in March, the company unveiled its “post-quantum” SASE solution—integrating quantum‐resistant cryptography into its secure access service edge offering—and, separately, published its 2026 Threat Report, highlighting ongoing product enhancements across network, security, and AI infrastructure.

Headquartered in San Francisco, Cloudflare provides internet infrastructure and security services—such as CDN, DDoS protection, web application firewalls, and zero-trust networking—to process and protect traffic for websites and applications worldwide. Seifert joined as the company’s first CFO in June 2017 and leads its global finance organization; he previously held CFO and interim CEO roles at AMD and Symantec.
