Meta COO Sells Shares Worth Billions While Issuing $25 Billion in Corporate Bonds

Javier Oliván, Meta’s Chief Operating Officer, sold portions of his direct and indirect holdings of Meta Class A common stock on the open market under pre-arranged Rule 10b5-1 trading plans established on April 13 and 20. The total proceeds are estimated at about $3.5 million (approximately KRW 4.5 billion).

Separately, on May 4 Meta Platforms, Inc. (NASDAQ: META) entered into its fifth supplemental indenture with a U.S. bank as trustee and issued six series of senior unsecured notes due between 2031 and 2066, raising $25 billion (over KRW 30 trillion) in long-term financing. All notes were issued as global notes through the Depository Trust Company (DTC).

Even after the recent share sale, Oliván retains a substantial equity stake. The newly issued bonds include make-whole early-redemption features and other call options, giving Meta flexibility to manage its capital structure going forward.

In its first quarter 2026 earnings report, Meta announced revenue of about $56 billion (roughly KRW 70 trillion), marking year-over-year growth in the 30 percent range. The company also raised its full-year capital expenditure guidance, citing increased investments in AI infrastructure.

Meanwhile, in New Mexico a second-phase public nuisance trial is under way, alleging that Meta services—such as Instagram—have endangered the safety of children and adolescents. State regulators are seeking structural changes to the platforms, including algorithm adjustments and stronger age-verification measures.

Meta, the U.S. big-tech company behind Facebook, Instagram and WhatsApp, has been channeling major investments into generative AI, the metaverse and wearable devices through its Meta AI and Meta Super Intelligence Labs.

Spanish-born executive Javier Oliván joined Facebook in 2007 and led its Global Growth Organization. In 2022 he succeeded Sheryl Sandberg as Meta’s COO, overseeing the company’s app family, infrastructure and overall business operations.
