MongoDB Co-Founder Sells Shares Worth Billions

Dwight A. Merriman, co-founder and insider of MongoDB, Inc. (NASDAQ: MDB), sold approximately 11,000 shares of common stock on the open market on May 14, securing about $3.3 million (roughly ₩4.5 billion), while still retaining some 990,000 shares. On May 18, a trust established in his children’s names disposed of another 6,000 shares, raising about $1.9 million (around ₩2.6 billion). A separate charitable foundation established by Merriman remains structured to hold only voting and investment decision rights without any economic interest.

According to the SEC filing, all of these transactions were executed in multiple tranches at varying price levels under a pre-arranged Rule 10b5-1 trading plan.

At the recent MongoDB.local 2026 event in London, the company unveiled integrated data-platform features designed to power enterprise AI agents, emphasizing an enhanced AI capability roadmap. Meanwhile, New York law firm Purcell & Lefkowitz has initiated a shareholder investigation to examine whether the board breached fiduciary duties in its recent decision-making.

MongoDB, a U.S. software company offering the MongoDB NoSQL database for unstructured data and the Atlas cloud service, has experienced rapid growth since its NASDAQ debut, driven primarily by cloud-based subscription revenue. Merriman, who co-founded the company in 2007, has remained a board member and major shareholder throughout, preserving a significant stake even after these recent sales.
