Western Digital 8-K Filing: Signals Exceeding Expectations
Pursuant to SEC disclosure requirements, Western Digital filed its latest Form 8-K on April 30, reporting third‐quarter results for fiscal 2026 along with forward guidance and updates to its dividend policy. The company posted revenue of $3.34 billion in Q3, a 45 percent increase year-over-year, with GAAP diluted earnings per share of $8.20 and non-GAAP EPS of $2.72. For the fourth quarter, it forecasts non-GAAP revenue of approximately $3.65 billion and EPS of about $3.25. Western Digital also announced a 20 percent increase to its quarterly cash dividend, raising it to $0.15 per share, payable June 17 to shareholders of record as of June 5. The 8-K formally discloses these items—results, dividend change, and the treatment of the flash-memory segment as discontinued operations following its spin-off—under Item 2.02 and Regulation FD.
Western Digital Corporation (WDC), a U.S. semiconductor company supplying hard disk drives and data storage solutions, is a leading global vendor to cloud data centers and enterprise customers. In February 2025, the company completed the spin-off of its flash-memory business as SanDisk, relaunching it as a separate public entity. Going forward, SanDisk’s results are reported as discontinued operations, allowing Western Digital to concentrate capital and management resources on its HDD-centric storage infrastructure business.
At its February 2026 Innovation Day, Western Digital unveiled a new storage roadmap optimized for AI workloads and previewed a next-generation 40 terabyte-class HDD. CEO Irving Tan noted that the company’s 2026 HDD production capacity is already fully booked, driven by strong demand from AI and cloud data-center customers. Recent insider disclosures—including RSU vesting and share sales for tax obligations by General Counsel Cynthia L. Tregillis and Global Operations head Vidyadhara K. Gubbi, as well as modest equity dispositions—have drawn investor interest alongside the company’s improving operating performance.
