United Airlines Key Executive Sells Billions in Shares and Transfers Family Trust

United Airlines Holdings, Inc. (UAL) Chief Human Resources and Labor Relations Officer Kate Gebo sold roughly $3.65 million of the company’s common stock, worth about KRW 5 billion, in the open market on May 26. On that same day, a revocable trust in her spouse’s name divested approximately $0.56 million—around KRW 800 million—of UAL shares. On May 27, Gebo transferred a portion of her remaining holdings at no cost into her spouse’s trust, reducing her direct stake while increasing her indirect interest, a family‐trust transaction that leaves her economic position largely unchanged. Separately, Chief Commercial Officer Andrew P. Nocella sold about $0.63 million (roughly KRW 900 million) of stock on May 1, and independent director Laysha Ward was granted 2,130 share‐equivalent units under the board compensation plan, each unit carrying the same economic value as a common share.

Amid renewed speculation about consolidation among major U.S. carriers, CEO Scott Kirby on May 27 drew a firm line under any potential merger with American Airlines, stating, “We do not plan to pursue further airline M&A in the foreseeable future.” That same day, UBS raised its price target on UAL, sending the stock on a sharp rally that has lifted shares by more than 20% over the past five trading days, drawing intense market interest.
