Space Company Pursues $8 Billion Acquisition of Satellite Communications Firm
On June 28, Rocket Lab Corp (NASDAQ: RKLB) took a significant step toward acquiring satellite communications provider Iridium Communications Inc (NASDAQ: IRDM) by entering into voting support agreements with certain Iridium shareholders to back the merger proposal. Under these agreements, the shareholders committed to vote all of their Iridium common shares in favor of the merger, to oppose any competing bid, and to forgo exercising appraisal rights—effectively securing their votes in advance to ensure the deal’s approval.
Separately, on May 28, two of the company’s key insiders—a major shareholder and Chief Operating Officer Frank Klein—each sold several hundred thousand shares of Rocket Lab stock on the open market under pre-established Rule 10b5-1 trading plans. Those sales generated approximately $9 million and $5.5 million in net proceeds (roughly ₩100 billion and ₩8 billion, respectively), and both insiders continue to hold substantial positions in the company.
According to recent filings, Rocket Lab has agreed to acquire Iridium in an all-cash-and-stock transaction valued at about $8 billion (roughly ₩11 trillion). The deal is designed to create an integrated space company combining launch services, satellite manufacturing, and a global satellite communications network.
Rocket Lab has been expanding its contracts with the U.S. government, most notably by setting a record for responsive space launches when it orbited the U.S. Space Force’s “VICTUS HAZE” mission just 16 hours and 42 minutes after tasking. The company also recently secured a NASA contract to provide three Electron rocket launches for solar and Earth science missions.
Headquartered in the U.S., Rocket Lab offers commercial launch services with its small-satellite launcher Electron and is developing a medium-class rocket, Neutron. Its customer base includes the U.S. Department of Defense, NASA, and private satellite operators. Iridium operates a constellation of low-Earth-orbit satellites that deliver global voice and data communications services. Once the transaction closes, Rocket Lab will encompass launch services, satellite manufacturing, and satellite communications under one roof.
